Membership in The Seed Fund Investor Network is limited to individuals who meet the criteria of an accredited or high-net-worth investor as defined by relevant regulations, including but not limited to: 2.1.1. The Financial Conduct Authority (FCA) in the United Kingdom. 2.1.2. The Securities and Exchange Commission (SEC) in the United States.
2.2. You must be at least 18 years of age to participate in The Seed Fund Investor Network.
2.3. By joining The Seed Fund, you confirm that you meet the eligibility criteria and agree to provide accurate and complete information during the registration process.
3. Use of Services
3.1. Permitted Use: You may use our Services solely for your own non-commercial, lawful purposes. Unauthorized use of our Services for any other purpose is strictly prohibited.
3.2. No Financial Advice: The information provided by The Seed Fund, including but not limited to newsletters, investor briefings, and event materials, is for informational purposes only and does not constitute financial, legal, or investment advice. You acknowledge and agree that all investment decisions are made at your own risk.
3.3. No Endorsement: Inclusion of any startup or investment opportunity in The Seed Fund communications does not imply endorsement or recommendation by The Seed Fund. You are responsible for conducting your own due diligence before making any investment decisions.
4. Privacy and Data Protection
4.1. Data Collection: We collect and process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using our Services, you consent to such processing and warrant that all data provided by you is accurate.

Liability Cap: To the fullest extent permitted by law, The Seed Fund shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: 6.2.1. Your use or inability to use our Services. 6.2.2. Any unauthorized access to or use of our servers and/or any personal information stored therein. 6.2.3. Any errors or omissions in any content.
6.3. Total Liability: In no event shall The Seed Fund’s total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of the amount you paid us for the Services or £100 GBP.

7.1. You agree to indemnify, defend, and hold harmless The Seed Fund, its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: 7.1.1. Your use of the Services. 7.1.2. Your breach of these Terms. 7.1.3. Your violation of any applicable law or regulation.

8.1. Modification of Terms: We reserve the right to modify these Terms at any time. Any changes will be effective upon posting the updated Terms on our website. We will notify you of significant changes via email. Your continued use of the Services following the posting of revised Terms signifies your acceptance of the changes.
8.2. Termination: We reserve the right to terminate or suspend your access to the Services, without prior notice or liability, for any reason whatsoever, including without limitation your breach of these Terms.

9.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
9.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10.1. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining Terms, which shall remain in full force and effect.
11. Entire Agreement
11.1. These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Seed Fund regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral, relating to such subject matter.
